1. About these Terms

These Terms of Service ("Terms") govern your access to and use of the website located at sonarlight.com and any associated products, dashboards, reports, or services (collectively, the "Service") operated by Sonarlight ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date above. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

2. Eligibility

The Service is intended for users who are at least 18 years of age and who are accessing the Service for legitimate business purposes. By using the Service, you represent that you meet these requirements.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Your Account

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Keep your account credentials confidential and not share them with others.
  • Notify us promptly at [email protected] if you suspect unauthorized access to your account.
  • Be solely responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if we reasonably believe your credentials have been compromised or if you violate these Terms.

4. Subscriptions and Payments

4.1 Paid Plans

Certain features of the Service are available only on a paid subscription basis. Pricing, billing frequency, and plan details are described on our pricing page at sonarlight.com/pricing and may be updated from time to time.

4.2 Payment Processing

All payments are processed by a third-party payment processor (currently Stripe, Inc.). By providing payment information, you authorize us (via Stripe) to charge your payment method for the applicable fees. We do not store your full card number or payment credentials on our own servers — these are handled by Stripe in accordance with their own terms and PCI-DSS compliance obligations. Stripe's terms are available at stripe.com/legal.

4.3 Billing Cycle and Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) unless you cancel before the renewal date. You are responsible for all applicable taxes.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial periods unless required by applicable law.

4.5 Free Tier / Trial

If we offer a free tier or trial period, we will describe the scope and any limitations at the time of signup. We reserve the right to modify or discontinue free offerings at any time.

4.6 Price Changes

We may change our pricing with at least 30 days' notice to existing subscribers. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Use the Service to conduct, facilitate, or promote any activity that is illegal, deceptive, or fraudulent.
  • Attempt to reverse-engineer, scrape, copy, or reproduce any part of the Service without our written consent.
  • Introduce malware, viruses, or otherwise disrupt or interfere with the Service or servers or networks connected to it.
  • Resell, sublicense, or otherwise transfer access to the Service to third parties except as expressly permitted (e.g., authorized agency use).
  • Use the Service to post or automate fake reviews, spam, or any content that violates a third-party platform's terms of service or applicable law.
  • Circumvent any access controls, usage limits, or authentication mechanisms.

We reserve the right to suspend or terminate access to the Service for any violation of these restrictions.

6. Intellectual Property

6.1 Our Content

The Service and all content, features, software, and materials made available through it — including but not limited to text, graphics, reports, algorithms, and underlying code — are owned by or licensed to Sonarlight and are protected by Canadian and international intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service.

6.2 Your Content and Data

You retain ownership of any business information, profile data, or other content you provide to us ("Your Data"). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to use, process, and store Your Data solely for the purpose of providing and improving the Service.

6.3 Feedback

If you provide us with suggestions, feedback, or ideas about the Service, you grant us an unrestricted right to use and incorporate such feedback without any obligation to compensate you.

7. Third-Party Services and Data

The Service may integrate with or display data from third-party services, including AI assistants (such as ChatGPT, Gemini, Perplexity, and Google AI Overviews), Google Business Profile, Bing Places, and other directories. We do not control and are not responsible for the accuracy, availability, or conduct of any third-party services. References to third-party data are provided for informational purposes only.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or free of harmful components.
  • Any visibility scores, recommendations, or reports generated by the Service will result in improved business performance, increased customers, or any particular business outcome.
  • Data retrieved from third-party AI assistants or directories will be accurate or current.

AI visibility data is inherently sampled and probabilistic; results may vary between runs. Recommendations are informational only — you are solely responsible for any actions you take based on them.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Sonarlight and its officers, directors, employees, and contractors shall not be liable for any:

  • Indirect, incidental, consequential, special, or punitive damages.
  • Loss of profits, revenue, customers, goodwill, data, or business opportunities.

arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) CAD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sonarlight and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third party's rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms or applicable law. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 6, 8, 9, 10, 12, and 13) will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada.

13. General

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sonarlight regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will continue in full force.
  • Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
  • Language. These Terms are written in English. Any translated version is provided for convenience only.
